of Sale.
These terms govern the supply of pharmaceutical products by Euro Biom Ltd to business customers, including hospitals, health ministries, NGOs, distributors and registered importers. Please review before placing an order.
01Who We Are
Euro Biom Ltd (“Euro Biom”, “we”, “our”, “us”) is a company registered in England & Wales under company number 15380737, with its registered office and operational base at Unit 5 Skyport Drive, Harmondsworth, London UB7 0LJ. We are an MHRA-licensed pharmaceutical wholesale dealer holding WDA(H) 59239, verifiable on the MHRA wholesale dealer register.
Our Responsible Person under the Human Medicines Regulations 2012 is Mr Brian Lindsay.
02Who These Terms Apply To
These Terms and Conditions of Sale (“Terms”) apply to all orders placed with Euro Biom by business customers, including without limitation:
- NHS trusts, hospitals and private healthcare providers
- Government health ministries and national procurement bodies
- Non-governmental and humanitarian organisations
- Registered pharmaceutical importers and wholesalers in the UK or overseas
- Licensed pharmacies operating under the relevant national regulatory framework
We do not sell to private individuals or supply against individual patient prescriptions at retail level. All supply is business-to-business, on the buyer's own regulatory authority.
03Order Process and Acceptance
3.1 Enquiries
Enquiries may be submitted via our contact form, by email to work@eurobiom.co.uk, by telephone, or via our WhatsApp line. An enquiry is not an order.
3.2 Quotation
Following an enquiry, we may issue a written quotation specifying product, strength, pack size, quantity, unit price, freight, documentation charges, lead time, quoted expiry window and a validity period. Quotations are not binding offers until countersigned or converted to a purchase order.
3.3 Order Confirmation
An order is formed only when we issue a written order confirmation referencing the buyer's purchase order number. We reserve the right to decline any order at our sole discretion, including where regulatory, compliance or payment concerns cannot be resolved.
3.4 Buyer Due Diligence
The buyer represents and warrants that it holds all authorisations required in its own jurisdiction to receive, store, distribute or administer the products ordered. We may request evidence of licensing before shipment.
04Product, Specification and Substitution
All products are supplied as licensed medicinal products in the country of manufacture unless expressly supplied on a named patient, specials or unlicensed import basis in accordance with applicable law. Pack sizes, branding and specific manufacturer may vary between batches subject to availability; we will notify the buyer of material variation before dispatch.
Where the primary product is unavailable, we may offer a documented alternative (for example parallel import, generic equivalent, or a named patient unlicensed product). The buyer is responsible for clinical and regulatory acceptance of any alternative.
05Price, Payment and Invoicing
5.1 Currency and Tax
Prices are quoted in GBP unless otherwise agreed. Prices are exclusive of VAT, customs duties and destination taxes, which are payable by the buyer in accordance with the law of the delivery country.
5.2 Payment Terms
Unless otherwise agreed in writing, payment terms are pro-forma invoice, cleared funds required before dispatch. For established institutional buyers we may offer credit terms of up to thirty (30) days from invoice date, subject to credit checks and written agreement.
5.3 Late Payment
Overdue amounts accrue statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998. We reserve the right to suspend further shipments while amounts remain overdue.
5.4 Bank Details and Fraud
Our bank details are only issued on an official Euro Biom invoice. If you receive any communication purporting to change our bank details, please telephone our main office on +44 7492 670948 to verify before payment.
06Delivery, Risk and Title
Unless otherwise agreed, deliveries are made on Incoterms 2020 EXW or FCA London Heathrow for export, or carriage-paid UK address for domestic supply. Delivery dates are best-estimate and not of the essence. Title in the products passes to the buyer on full payment of cleared funds. Risk passes in accordance with the agreed Incoterm.

07Inspection, Acceptance and Returns
The buyer must inspect the consignment on arrival and notify us in writing of any visible damage, shortage or temperature excursion within seventy-two (72) hours of receipt. Sealed pharmaceutical products cannot be returned for reasons other than supplier error or documented defect, in line with MHRA guidance on the return of medicines to the legal supply chain.
Claims relating to temperature excursion must be accompanied by the data logger report supplied with the shipment and, where applicable, photographs of packaging on arrival.
08Product Recall and Pharmacovigilance
We maintain a documented recall procedure as part of our GDP quality system. In the event of an MHRA Class 1, 2 or 3 drug alert affecting any product we have supplied, we will notify the buyer as soon as practicable and coordinate the recall in accordance with the alert.
Buyers are required to cooperate with recall procedures, including freezing affected stock, providing onward distribution records where relevant, and facilitating uplift or destruction of affected product.
09Warranties and Limitation of Liability
We warrant that products supplied are genuine, sourced from MHRA-licensed channels or documented alternative legal routes, handled in accordance with Good Distribution Practice, and accompanied by the batch documentation stated on the order confirmation.
To the maximum extent permitted by law, we exclude all other representations, warranties and conditions, whether express or implied. Our total aggregate liability in respect of any order shall not exceed the invoice value of that order. We shall not be liable for indirect, consequential or loss-of-profits damages.
Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence or for fraudulent misrepresentation.
10Export Controls, Sanctions and Compliance
All shipments are subject to UK export controls, sanctions regulations and applicable international trade law. We reserve the right to refuse, delay or cancel any order where the end destination, end user or end use cannot be satisfactorily determined or would breach any such law.
The buyer undertakes not to re-export any product in contravention of applicable sanctions and will, on request, confirm the ultimate destination and end user of the supplied products.
11Anti-Bribery and Modern Slavery
We operate in compliance with the UK Bribery Act 2010 and the Modern Slavery Act 2015. We do not pay or accept facilitation payments and we expect buyers and counterparties to operate to equivalent standards. Our Modern Slavery Statement is published on this website.
12Data Protection
Personal data shared with Euro Biom in the course of a business relationship is processed in accordance with the UK GDPR and our Privacy & Cookie Policy. Purchase order, contact and logistics data is retained for the minimum period necessary to meet our regulatory, quality and financial obligations.
13Force Majeure
Neither party is liable for delay or failure to perform where caused by events beyond its reasonable control, including regulatory action, pandemic, conflict, freight disruption, cold chain failure by a third-party carrier, or manufacturer supply interruption. Where force majeure continues for more than sixty (60) days, either party may terminate the affected order.
14Confidentiality
Commercial information exchanged in connection with an enquiry, quotation or order (including pricing, supplier network and documentation) is confidential and must not be disclosed to third parties without prior written consent, save where required by law or by an applicable regulator.
15Governing Law and Jurisdiction
These Terms and any related dispute are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales, subject only to the right of Euro Biom to seek injunctive or enforcement relief in any jurisdiction where a buyer holds assets.
16Variation and Entire Agreement
These Terms, the order confirmation and any written addendum signed by both parties constitute the entire agreement between the parties in respect of the supply. No variation is effective unless made in writing and signed on behalf of both parties.
